The terms that govern your use of the FTP to FTP File Transfer website and software.

1. Acceptance of Terms

These Terms and Conditions ("Terms") govern your access to and use of the FTP to FTP File Transfer website at portal.ftptoftp.com ("Website") and the FTP to FTP File Transfer software ("Software"), together referred to as the "Services". The Services are operated by Desire Div ("Desire Div", "we", "us"); "FTP to FTP File Transfer" is a brand and product name of Desire Div. By accessing the Website, downloading, or using the Software, you agree to be bound by these Terms. If you do not agree, do not use the Services.

2. Eligibility

You must be at least 16 years old and able to form a legally binding contract to use the Services. By using the Services you represent that you meet these requirements and that any information you provide is accurate and complete.

3. Licence and Software Use

Your use of the Software is governed by our Licence Agreement (EULA), which forms part of these Terms. The Software is licensed, not sold. You may use it only in accordance with that Licence Agreement.

4. Free Trial and Payment

The Software may be used free of charge with unlimited usage for the first 24 hours after installation. Continued use after the trial requires a paid annual licence of $8.25/month billed annually as a single payment of $99 per year.

Our order process and payments are handled by our reseller and Merchant of Record, Paddle.com, and are subject to Paddle's Buyer Terms. You may request a refund within 14 days of purchase. The licence is valid for one year and does not renew automatically — there is no recurring subscription, and you renew manually if you wish to continue after the year. 5. Acceptable Use

You agree to use the Services lawfully and responsibly. You must not:

  • use the Software to access, transfer, or store any data you are not authorised to access;
  • use the Services to transmit unlawful, infringing, or malicious content;
  • attempt to gain unauthorised access to the Website, our systems, or other users' data;
  • interfere with or disrupt the integrity or performance of the Services;
  • reverse engineer, copy, resell, or redistribute the Software except as permitted by the Licence Agreement;
  • use the Services in any way that violates applicable laws or regulations.

6. Your Responsibility for Data

The Software transfers files between servers and devices that you control, using credentials that you supply. You are solely responsible for the accuracy of those credentials, for having the right to access the servers involved, and for maintaining backups of your data. We strongly recommend backing up important data before performing any transfer. We are not responsible for data loss, corruption, or accidental overwrites resulting from your use of the Software.

7. Intellectual Property

The Services, including the Software, the Website, and all related text, graphics, logos, and content, are owned by Desire Div and protected by intellectual property laws. "FTP to FTP File Transfer" is a brand of Desire Div. These Terms do not grant you any right to use our trademarks, logos, or branding without our prior written permission.

8. Third-Party Services

The Website loads certain third-party resources (such as the jsDelivr CDN and Google Fonts) and payment is handled by a third-party payment processor. We are not responsible for the content, policies, or practices of third-party services. Your use of those services is subject to their own terms.

9. Disclaimer of Warranties

The Services are provided "as is" and "as available" without warranty of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Services will be uninterrupted, error-free, or secure, or that any defects will be corrected.

10. Limitation of Liability

To the maximum extent permitted by law, Desire Div shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of data, loss of profits, or business interruption, arising out of or relating to your use of or inability to use the Services. Our total liability for any claim shall not exceed the amount you paid us in the twelve months preceding the claim.

11. Termination

We may suspend or terminate your access to the Services at any time if you breach these Terms or the Licence Agreement. Upon termination, your right to use the Software ends and you must stop using and uninstall it. Sections that by their nature should survive termination (including intellectual property, disclaimers, and limitation of liability) will continue to apply.

12. Changes to These Terms

We may update these Terms from time to time. The latest version will always be available on this page, with the "Last updated" date shown above. Your continued use of the Services after changes take effect constitutes acceptance of the revised Terms.

13. Governing Law

These Terms are governed by the laws applicable at our principal place of business, without regard to conflict-of-law principles. Nothing in these Terms limits any non-waivable rights you may have under the consumer protection laws of your country or region.
